The legal terms governing your use of EurekaMind by BizCard Limited.

We are BIZCARD LIMITED, operating the mobile application EurekaMind (the "App"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Service").

This Service primarily provides you with generating a digital version of your business card, customizing your own personal AI secretary and presenter though the use of OCR (Optical Character Recognition) and generative artificial intelligence (AI) technology ("AI Service"), then you can collect business contact information, communicate with external business contacts, generate presentation scripts or video and using other functions. In order to protect personal information provided to us as part of the provision of the Service, we will process your personal information in accordance with our Privacy Policy.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and BizCard, concerning your access to and use of the Services. You agree that by accessing the Service, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms and conditions or documents that may be posted on the Service from time to time are hereby expressly incorporated herein by reference.

We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Legal Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Legal Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any Legal Terms revised by your continued use of the Service after the date such revised Legal Terms are posted. The Service is intended for users who are at least 18 years old or of legal age to form a binding contract under applicable law. Persons under the age of 18 or are incompetent under applicable law are not permitted to use or register for the Services. We recommend that you print a copy of these Legal Terms for your records.

PLEASE NOTE: THESE LEGAL TERMS CONTAIN AN CLASS ACTION WAIVER. BY AGREEING TO THESE TERMS, YOU AGREE TO RESOLVE ALL DISPUTES WITH US THROUGH BINDING INDIVIDUAL JUDICATION, WAIVING ANY RIGHT TO HAVE THOSE DISPUTES DECIDED BY A JUDGE OR JURY, AND WAIVING YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS.

Our Service

THIS SERVICE IS EXCLUSIVELY AVAILABLE TO USERS LOCATED IN SINGAPORE, INDONESIA, JAPAN, THAILAND, THE UNITED ARAB EMIRATES AND MEXICO. IF YOU CHOOSE TO ACCESS THE SERVICES FROM LOCATIONS OUTSIDE THESE JURISDICTIONS, YOU DO SO ON YOUR OWN INITIATIVE AND ARE SOLELY RESPONSIBLE FOR ENSURING COMPLIANCE WITH ANY APPLICABLE LOCAL LAWS. We are not liable for any legal consequences arising from your use of the Service outside the specified jurisdictions.

The information provided through the Service is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would violate applicable laws or regulations, or where it would subject us to any registration or regulatory requirements within such jurisdiction or country.

From time to time we may update our Services to improve performance, enhance functionality, reflect changes to the operating system or address security issues. WE MAY ALSO ASK YOU AND YOU AGREE TO INSTALL UPDATES FOR THE SERVICES FOR THESE REASONS. If you choose not to install such updates or if you opt out of automatic updates, you acknowledge and agree that you may not be able to continue using the Services. All updates to the Services are subject to the Legal Terms, unless otherwise specified by us.

User Registration

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such a username is inappropriate, obscene, or otherwise objectionable.

By creating an account, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Legal Terms; (4) you are not a minor in the jurisdiction in which you reside; (5) you will not access the Service through automated or non-human means, whether through a bot, script or otherwise.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof).

Intellectual Property Rights

Our intellectual property

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks"). Our Content and Marks are protected by copyright and trademark laws (and various other intellectual property rights and unfair competition laws) and treaties around the world. The Content and Marks are provided in or through the Services "AS IS" for your personal, non-commercial use only.

Your use of our Services

  • Subject to your compliance with these Legal Terms, including the "USE OF OUR SERVICE" section below, we grant you a non-exclusive, non-transferable, revocable license to: access the Service; and download or print a copy of the Content to which you have properly gained access, solely for your personal, non-commercial use. Except as set out in this section or elsewhere in our Legal Terms, no part of the Service and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.
  • If you wish to make any use of the Service, Content, or Marks other than as set out in this section or elsewhere in our Legal Terms, please address your request to: contact@eurekamind.ai. If we ever grant you permission to post, reproduce, or publicly display any part of our Service or Content, you must identify us as the owners or licensors of the Service, Content, or Marks and ensure that any copyright or proprietary notice appears or is visible on posting, reproducing, or displaying our Content.
  • We reserve all rights not expressly granted to you in and to the Services, Content, and Marks. Any breach of these Intellectual Property Rights will constitute a material breach of our Legal Terms and your right to use our Services will terminate immediately.

Your Submissions and Output

  • The Service may invite you to provide personal information, self-introduction, submit personal photos, images, voices or audio files, fill in prompts (such as agent settings) and other information. During this process, you may create, submit, publish, display, transmit, post, distribute, or broadcast content or materials, including but not limited to text, writings, images, voices, videos, audio, photos, comments, personal information, or other materials ("Submissions"). Any submissions that are publicly posted shall also be considered Submissions. When you post Submissions through the Service, you may receive consent generated in response to your submission ("Output"), including but not limited to the synthesised images, voices, videos, audio, photos of you, summary of your meeting audio and video content, the contact information and communication record of your external business contacts, etc. You understand and agree that your Submissions and Output may be visible to other users of the Service.
  • When you post Submissions, you grant us a license (including the use of your name, trademarks, and logos): You grant us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right and license to: use, copy, reproduce, distribute, sell, resell, publish, broadcast, retitle, store, publicly perform, publicly display, reformat, translate, excerpt (in whole or in part), and exploit your Submissions and Output (including, without limitation, your image, name, voice and summary of your meeting audio and video content) for any purpose, including provision of our Service for you, improvement and development of our Services, commercial, advertising, or otherwise. This includes the right to prepare derivative works of, or incorporate into other works, your Submissions and to sublicense the licenses granted in this section.
  • This license also includes the use of your name, company name, franchise name, trademarks, service marks, trade names, logos, and personal and commercial images you provide, for the above purposes.
  • We will only access, use and process your Submissions and Output on the basis of the Legal Terms, including but not limited regarding the purposes as necessary to maintain or provide the Services or any other services explicitly requested by you, etc. If you do not want us to use your Submissions and Output for some or all of above purposes, you can opt-out at any time by contacting us at contact@eurekamind.ai.

You are responsible for what you post or upload and receive: By sending us Submissions and/or posting Submissions through any part of the Service or making Submissions accessible through the Service by linking your account through the Service to any of your social networking accounts, you:

  • confirm that you will not post, send, publish, upload, or transmit through the Services any Submission that is illegal, harassing, hateful, harmful, defamatory, obscene, bullying, abusive, discriminatory, threatening to any person or group, sexually explicit, false, inaccurate, deceitful, or misleading;
  • warrant that any such Submissions are original to you or that you have the necessary rights and licenses to submit such Submissions and that you have full authority to grant us the above-mentioned rights in relation to your Submissions;
  • and warrant and represent that your Submissions do not constitute confidential information.

You are solely responsible for your Submissions and Output, including ensuring that it does not violate any applicable law or the Legal Terms, and you expressly agree to reimburse us for any and all losses that we may suffer because of your breach of (a) this section, (b) any third party's intellectual property rights, or (c) applicable law.

We may remove or edit your Submissions and Output: Although we have no obligation to monitor any Submissions and Output, we shall have the right to remove or delete any Submissions and Output at any time without notice if in our reasonable opinion we consider such Submissions and Output harmful or in breach of these Legal Terms. If we remove any such Submissions and Output, we may also suspend or disable your account and report to the authorities.

Copyright infringement

We respect the intellectual property rights of others. If you believe that any material available on or through the Services infringes upon any copyright you own or control or that your intellectual property rights have been otherwise violated, please immediately notify us of your infringement claim at contact@eurekamind.ai providing the following information (Subject line: "DMCA Takedown Request"):

  • An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;
  • A description of the copyrighted work or other intellectual property that you claim has been infringed;
  • A description of where the material that you claim is infringing is located on the Services, with enough detail that we may find it on the Services;
  • Your address, telephone number, and email address;
  • A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright or intellectual property owner, its agent, or the law;
  • A statement by you, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright or intellectual property owner or authorized to act on the copyright or intellectual property owner's behalf.

We may delete or disable Content that we believe violates these Legal Terms or is alleged to be infringing where appropriate. Please also note that we are not in a position to assess the legal merits of the claims. Any further action, claim or remedy against the infringing user must be undertaken by the aggrieved user.

In accordance with the DMCA and other applicable law, we would, in appropriate circumstances and at our sole discretion, terminate users who are deemed to be repeat infringers. We may also, at its sole discretion, limit access to the Services or terminate the registrations of any users who infringe any intellectual property rights of others, whether or not there is any repeat infringement.

Use of Our Service

User License

If you access the Services via the App, then we grant you a revocable, non-exclusive, non-transferable, limited right to install and use the App on wireless electronic devices owned or controlled by you, and to access and use the App on such devices strictly in accordance with the terms and conditions of this mobile application license contained in these Legal Terms.

Prohibited Conduct

You agree not to do any of the following in connection with your use of the Service:

  1. except as permitted by applicable law, decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the App;
  2. make any modification, adaptation, improvement, enhancement, translation, or derivative work from the App;
  3. violate any applicable laws, rules, or regulations in connection with your access or use of the App;
  4. remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) and/or any compliance notice (including AI-generated content digital watermarking) posted by us or the licensors of the App;
  5. use the App for any revenue-generating endeavor, commercial enterprise, or other purpose for which it is not designed or intended;
  6. make the App available over a network or other environment permitting access or use by multiple devices or users at the same time;
  7. use the App for creating a product, service, or software that is, directly or indirectly, competitive with or in any way a substitute for the App;
  8. use the App to send automated queries to any website or to send any unsolicited commercial email; or
  9. use any proprietary information or any of our interfaces or our other intellectual property in the design, development, manufacture, licensing, or distribution of any applications, accessories, or devices for use with the App.

Use of AI Service

Artificial intelligence and machine learning are rapidly evolving fields of study. We and our business partners are constantly working to improve our Services to make them more accurate, reliable, safe, and beneficial. Given the probabilistic nature of machine learning, use of our AI Services may, in some situations, result in Output that does not accurately reflect real people, places, or facts.

When you use our AI Services you understand and agree the following:

  1. The Output may not always be accurate. You should not rely on Output generated by our AI Services as your only source of truth or factual information, nor as a substitute for professional advice.
  2. You are responsible for evaluating the accuracy and appropriateness of the Output for your specific use case, which may include human review, before using or sharing any Output generated by our AI Services.
  3. You must not use any AI Output related to an individual for purposes that could have a legal or material impact on that person, such as making credit, educational, employment, housing, insurance, legal, medical, or other important decisions about them.
  4. You will also not use any Output in conjunction with any content which is (a) objectionable, cruel or insensitive, constitutes hate speech, is violent in nature, or (b) is misleading or inaccurate. We reserve the right to make a determination about what constitutes inappropriate use for the purposes of this clause.

Apple or Android Device

The following terms apply when you use the App obtained from either the Apple Store or Google Play (each an "App Distributor") to access the Services:

  1. the license granted to you for our App is limited to a non-transferable license to use the application on a device that utilizes the Apple iOS or Android operating systems, as applicable, and in accordance with the usage rules set forth in the applicable App Distributor's terms of service;
  2. we are responsible for providing any maintenance and support services with respect to the App as specified in the terms and conditions of this mobile application license contained in these Legal Terms or as otherwise required under applicable law, and you acknowledge that each App Distributor has no obligation whatsoever to furnish any maintenance and support services with respect to the App;
  3. you represent and warrant that (i) you are not located in a country that is subject to a US government embargo, or that has been designated by the US government as a "terrorist supporting" country and (ii) you are not listed on any US government list of prohibited or restricted parties;
  4. you must comply with applicable third-party terms of agreement when using the App, e.g., if you have a VoIP application, then you must not be in violation of their wireless data service agreement when using the App; and
  5. you acknowledge and agree that the App Distributors are third-party beneficiaries of the terms and conditions in this mobile application license contained in these Legal Terms, and that each App Distributor will have the right (and will be deemed to have accepted the right) to enforce the terms and conditions in this mobile application license contained in these Legal Terms against you as a third-party beneficiary thereof.
  6. you acknowledge and agree that all billing and transaction processes due to the subscription or credits-purchase of the Service made through the App, are handled by the App Distributor from where you downloaded the App and are governed by that App Distributor's own terms and conditions. If you have any payment related issues with the subscription or credits-purchase of the Service, then you need to contact the App Distributor directly.

Third Party Services

Our Services uses some third-party services to enable its functionality or contain links to other services run by third parties, including:

  1. Speech transcription;
  2. Custom synthesised images;
  3. Custom synthesised voices;
  4. Payment services;
  5. AI services.

Some of those third-party services subject to respective third-party terms and conditions, please read these third-party terms and conditions carefully as they constitute an agreement between you and the applicable third party and to which we are not a party to.

Purchases and Payment

We offer both free and paid Services. If you choose to subscribe to or purchase credits for a paid Service, you agree to pay the fees ("Fees") as quoted to you when you purchase that Service. We may calculate taxes payable by you based on the billing information that you provide us with at the time of purchase. You are responsible for all charges related to using the purchased Service (for example, data charges and currency exchange settlements). You will pay the Fees in the currency We quoted at the time of purchase. We reserve the right to change the eligible currencies at any time, except where not permitted by applicable law.

We reserve the right to change its prices at any time, however, if we have offered a specific duration and Fee for your use of the Service, we agree that the Fee will remain in force for that duration. Your continued use of the Service after the Fees change comes into effect constitutes your agreement to pay the modified fee amount.

Services Management and Restriction

We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Legal Terms, including without limitation, reporting such user to law enforcement authorities; (3) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your Submissions or any portion thereof; (4) in our sole discretion and without limitation, notice, or liability, to remove from the Services or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and (5) otherwise manage the Service in a manner designed to protect our rights and property and to facilitate the proper functioning of the Service.

To the extent you access the Service through a mobile device, your wireless service carrier's standard charges, data rates and other fees may apply and affect your use of wireless service. In addition, downloading, installing, updating, or using certain Services may be prohibited or restricted by your carrier, and not all Services may work with all carriers or devices. We are not liable for the unavailability or non-functionality of Services resulted from your carrier.

Direct Marketing

You acknowledge that we will send you direct marketing communications regarding our Services, deals and marketing recommendations in a way consistent with applicable laws in relation to unsolicited communications by email, post, SMS, phone and other electronic means, you can opt-out of our marketing communications at any time by contacting us at contact@eurekamind.ai.

Privacy Policy

We care about data privacy and security. Please review our Privacy Policy. Please be advised the Service is hosted in Hong kong. If you access the Services from any other region of the world with laws or other requirements governing personal information collection, use, or disclosure that differ from applicable laws in Hong kong.

We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services. You agree that we shall have no liability for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.

Term and Termination

These Legal Terms shall remain in full force and effect while you use the Services. WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE LEGAL TERMS OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SERVICES OR DELETE YOUR ACCOUNT AND ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.

If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

Governing Law

These Legal Terms shall be governed by and defined following the laws of Hong kong. BizCard and yourself irrevocably consent that the courts of Hong kong shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these Legal Terms.

Dispute Resolution

You agree to irrevocably submit all disputes related to these Legal Terms or the legal relationship established by these Legal Terms ("Dispute") to the jurisdiction of the Hong kong courts. BizCard shall also maintain the right to bring proceedings as to the substance of the matter in the courts of the country where you reside or, if these Legal Terms are entered into in the course of your trade or profession, the state of your principal place of business.

You and BizCard agree that Dispute must be brought on an individual basis only, and may not be brought as a plaintiff or class member in any purported class, consolidated, or representative proceeding. Class arbitrations, class actions, and representative actions are prohibited. Only individual relief is available. You and BizCard further knowingly and irrevocably waive any right to trial by jury in any action, proceeding, or counterclaim.

Corrections

There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Services at any time, without prior notice.

Interruption

We reserve the right with respect to the availability and interruption of the Services or any part thereof from time to time under the following circumstances:

  1. Maintenance, updates and fixation of server, network, software and/or hardware which are necessary to provide the access of the Services to you.
  2. Force majeure (for any reasons beyond our control).
  3. In accordance with the order of governmental authorities or other in-charge authorities.
  4. In order to comply with applicable laws.

You agree that we will not be liable for any interruption of the Services or any part thereof, delay or failure to perform resulting from any of these circumstances. We have the right at any time to change and/or eliminate any aspect(s) of the Services (or any part thereof) as part of our further development of the Services. In doing so we will consider your reasonable interests.

Disclaimer

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT OR THE CONTENT OF ANY WEBSITES OR MOBILE APPLICATIONS LINKED TO THE SERVICES AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY

  1. ERRORS, MISTAKES, OR INACCURACIES OF CONTENT AND MATERIALS,
  2. PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICES,
  3. ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN,
  4. ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES,
  5. ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY, AND/OR
  6. ANY ERRORS OR OMISSIONS IN ANY CONTENT AND MATERIALS OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES. WE DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICES, ANY HYPERLINKED WEBSITE, OR ANY WEBSITE OR MOBILE APPLICATION FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND WE WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND ANY THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES. AS WITH THE PURCHASE OF A PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.

Limitations of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
